Canada: Foreign Investment

Canada’s foreign investment review regime under the Investment Canada Act (Act) has been the subject of considerable attention and controversy over the past several years. Much of this has related to BHP Billiton’s preliminarily-rejected (and ultimately abandoned) bid for Potash Corporation of Saskatchewan (2010) and the 2008 rejected bid by Alliant Techsystems Inc to acquire MacDonald Dettwiler Associates Ltd. Also, the effort by the London Stock Exchange to merge with the TMX (operator of the Toronto Stock Exchange) attracted considerable soul-searching in respect of the foreign investment regime, although the failure of that transaction is not attributable to the regime.
