Terms and conditions

Terms applicable from 4th April 2017

1.1 Introduction

1.1.1   These are the terms and conditions of service (“Terms) which govern the use of all websites (“Sites”) and related Services (as defined below) owned, operated and provided by Law Business Research Ltd

1.1.2    Your use of the Sites and Services is conditional on you complying with these Terms.

1.1.3  An application for registration by you to us (where relevant)) will constitute an offer by you to become a Registered User or a Subscriber on these Terms and any other terms applicable to the specific registration or subscription (including, without limitation, terms relating to the number of licensed users, the applicable charges and period of any subscription). You will not become a Registered User or a Subscriber nor be entitled to access or receive Sites, Content or Services relating to the relevant registration unless and until we notify you of our acceptance of such offer, by providing you with a user name and password or otherwise (in accordance with the registration process on that Site).

1.2   Definitions

1.2.1   Content” means all content, information, services and software provided on or through this Site.

1.2.2   “You /Your” means (as appropriate) the Visitor, Registered User and/or Subscriber accessing a Site or using a Service.

1.2.3   “We/us/our” means Law Business Research Ltd

1.2.4   “Postings” means any ideas, expression of ideas or text, graphic , messages, links, data, information or other materials you submit to the Site

1.2.5   “Registered User” means the user of certain Sites and/or Services who has registered with us in order to access such Sites and/or Services under clause 5.1(a)

1.2.6  “Subscriber” means a user of our sites and or services who has registered for our subscription services under clause 5.1(b)

1.2.7   “Services” means

            (a)       the supply of on-line or electronic information, publications and   data products (including, without limitation, the delivery of the same over the internet, or via mobile phone apps or other digital services);

            (b)       the supply of hard-copy publications and other materials; and

            (c)        other services relating to a Site (including, without limitation, any Interactive Areas.

1.2.8   “Visitor” means a user who accesses our Sites without registration or subscription.

1.2.9   “Device” internet connected apparatus

3. Use of Website

3.1 All rights in and to the Content and the Sites belong to Us or by third party content providers and are protected by international Intellectual property laws. You may use the Sites and the Content solely for your personal use and benefit and not for resale.           

3.2 You must not dissimilate for gain the service or any Content contained in the service of the Site or its Content.  You must not licence any third party to make use of the Website

3.3  You may not disseminate for gain the service or any content contained in the service on the Site. You must not licence any third party to make use of the Site or its Content.

 

3.4 You may only use the Site for lawful purposes. In particular you may not:

3.4.1  transmit any content that is disruptive, uncivil, abusive, vulgar, obscene, hateful, fraudulent, threatening, unlawful, harassing, defamatory, which would encourage the commission of a criminal offence or which discloses private or personal matters concerning any person;

3.4.2 transmit any material that you do not have a right to transmit under law (such as copyright, trade secret or securities) or under contractual or fiduciary obligations (as in nondisclosure agreements);

3.4.3  transmit any file that contains viruses, corrupted files, "Trojan Horses," or any other contaminating or destructive features that may damage someone else's computer or our systems;

3.4.4  Use any automated means, including without limitation, agents, robots, scripts, or spiders, to access, monitor, copy or harvest data from any part of the Site;

3.4.5   In contravention of the Computer Misuse Act 1990.

3.5   You acknowledge that we accept no liability for any services or other material provided to you through the Site where such services and/or material is provided by third parties who provide content to the service or whose services and/or materials are hypertext linked from and to the Site.

3.6     Any request for permission to republish, reprint or use any articles from any of the Sites for any purpose other than those permitted under these specific terms should be sent to subscriptions@lbresearch.com

3.7    You agree to indemnify, defend and hold us, our officers and employees harmless from and against all claims, losses, expenses, damages and costs including reasonable legal fees, resulting from any violation of these Terms by you or arising from or related to any Postingsuploaded or submitted by you.

3.8  For the avoidance of doubt We reserve the right at our discretion to refuse to provide access to the Site and or suspend access to the site if a Subscriber/Registered User is found to be misusing Content in certain areas of the Sites.

4. Limitation of Liability

4.1       In particular, we disclaim all liabilities in connection with the following:

            4.1.1   incompatibility of the Site with any of your equipment, software or telecommunications links;

            4.1.2   technical problems including errors or interruptions of the Site;

            4.1.3   unsuitability, unreliability or inaccuracy of the Site; and

            4.1.4   inadequacy of the Site to meet your requirements.

4.2  Content provided on the Site is not intended to and does not constitute legal advice. Postings to the Site are not confidential.  We do not warrant or guarantee the accuracy, adequacy of the Content. Your use of the Content of the Site or materials linked to the Site is at your own risk.

4.3 We do not guarantee delivery of any news briefing.

5. Registration and Subscriptions

5.1  In order to access certain Sites (or specific Content within certain Sites), and/or to receive certain Services, you must register with us as either a Registered User or a Subscriber, as follows:

(a) certain Sites, Content and or Services are available free of charge once you register with us, in which case you may access or receive them on these terms as a Registered User; or

(b) charges are payable for receipt of certain Services (which may include access to Sites and Content), in which case you may receive such Services on these terms as a Subscriber who has paid the relevant charges for a specified time period, and either a specified number of licensed users or a site license. IP authentication can be set up for automatic login to the Site. The Subscriber must only submit IP addresses specific to the Subscribing office(s) and provide notifications of any changes.

5.2  When you register, you will be given one or more user names and passwords, as appropriate for your registration or Subscription to the relevant Site or Service

5.3  Except to the extent that a user name and password is intended for more than one licensed user as agreed by us in writing, the following are not permitted:

(a) any Registered User, Subscriber or licensed user under any subscription sharing their user name and password with any other person or entity, including with any agent of such user; nor

(b) access through a single user name and password being made available to multiple users on a network.

5.4 Notwithstanding the restrictions in clause 5.3 above, you are responsible for all access and use of any Site or Service by you or anyone else using any of your user names and passwords and for preventing unauthorised use of any of your usernames and passwords. You must notify us of any breach of security (such as disclosure, theft or unauthorised use of any user name, password or any payment information)

6 Submitting text for publication on the Sites

6.1  Users of the Site may submit Postings in various areas of the site, including our online news, comments and conference diary. We accept no liability in respect of any Postings and published by us and we are not responsible for its content and accuracy.

6.2 If You want to submit material to us for publication on  the site, You may do so on the following terms and conditions:

                       6.2.1 Publication of any material you submit to us will be at our sole discretion. We reserve the right to make additions or deletions to the text or graphics prior to publication, or to refuse publication.

                        6.2.2   You grant us a perpetual, irrevocable, royalty-free, non-exclusive licence to use, edit, alter, adapt, translate, copy, publish, continue to publish or republish the unedited, adapted or translated version of it (“the Postings”) and/or to sell or  otherwise communicate or distribute the Postings as part of an edited compilation or in any way howsoever. The licence is capable of sub-licence unlimited in the use to which we may put the Postings and exist whether or not the author is a subscriber.  If You wish to reproduce any Postings which we have altered or edited we reserve the right to make a charge.

                        6.2.3   You warrant to us that the Postings is your own original work, unless otherwise stated and that you own the copyright and any other relevant rights.

                        6.2.4   You warrant that the Postings is not obscene, offensive, defamatory of any person or otherwise illegal.

                        6.2.5   You agree not to post material which is deliberately intended to upset other users.

                        6.2.6   We reserve the right to remove your access to individual services completely if we believe you are abusing the services in any way.

6.3       These Terms do not apply to commissioned work which will be subject to a written contract.

7. Intellectual Property

Unless otherwise noted, the content of the Site, including all images, illustrations, designs, icons, photographs, video clips and written materials are protected by copyright, trade marks, database and other intellectual property rights. You may not reproduce, modify copy or distribute or use for commercial purposes any of the materials or content on the Site (or downloaded from the Site) without our written permission.

8. Force Majeure

Neither party shall be liable to the other, for any loss or damage which may be suffered by the other party due to any cause beyond the first party's reasonable control including without limitation any power failure and the actions of internet service providers and users.

9. Subscription Charges and Payments

9.1       Subscribers must pay certain charges in order to receive the relevant subscription Service. All payments including applicable taxes must be made in any currency that we may specify . For the avoidance of doubt.  If any tax is withheld the Subscriber must pay an additional sum to cover the shortfall. If we do not receive payment for any charges due, we may immediately suspend your rights in relation to the relevant Service (including any relevant Site and/or Content)

9.2       Payment must be made by the Subscriber immediately upon receipt of an invoice.  If any surplus payment is made by the Subscriber we will request clarification.  If no response to the request for clarification is received within nine months we will be entitled to retain such funds.

9.3       The Subscription cannot be cancelled once it has started for the contracted subscription period. At the end of the Subscription period the online access will expire. A renewal process for the Subscription Service will commence upon written agreement between You and Us.

9.4      In the event of a breach of any of these terms we may choose to cancel access to and any use of the Sites and Content.

 

10. No Waiver

Any failure by us to exercise or enforce any right conferred shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof or of any other right on any later occasion.

 

11. Variation of these Terms

We reserve the right to vary these terms from time to time.

 

12. Bribery

We warrant that we do not engage in bribery, do not direct, authorise or knowingly permit any person who acts on our behalf or provide services to us to engage in bribery and we will not at any time engage in or direct, authorise or knowingly permit a person on our behalf or providing services to us to engage in bribery.

 

13. Law

These Terms shall be construed in accordance with, and the provision of the service on the Site shall be governed by, English law.

 

14. Miscellaneous

14.1 If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

14.2 We will respect your personal information and comply with the Data Protection Act 1998. [SEE OUR PRIVACY POLICY].

14.3 You give consent that all personal data you submit may be processed and retained by us in accordance with the Data Protection Act 1998. We will not disclose or make available such data to any other party.

14.4 A person who is not a party to these Terms shall have no right under the Contract (Rights of Third Parties) Act 1999 to enforce any term of these Terms but this shall not affect any right or remedy of a third party which exists or is available apart from that Act.

14.5 If any provisions in these Terms is invalid or unenforceable the remaining provisions will continue in full force and effect.

    • 1.1.1 For individual subscribers, the service on this website at www.globalcompetitionreview.com (the "Website") is provided to you for your personal use, on a single PC or PC Network only, and subject to these Terms and Conditions.

    • 1.1.2 For corporate subscribers, the Website is provided for the personal use of principals and employees only and subject to these Terms and Conditions. Corporate subscribers are obliged to ensure that those making use of the Website strictly adhere to these Terms and Conditions and do not disseminate the contents to unauthorised parties.

    • 1.2 Users of the Website (“You”) may not sell on or sublet the service or any content contained in the service on the Website. You must not licence any third party to make use of the Website.

    We reserve the right at our discretion to refuse to provide access to the Website.

  • 3. Limitation of Liability

    • 3.1 The Website and its contents are provided by on an "as is" basis and without any warranties or guarantees of any kind including without limitation warranties of title or implied warranties of satisfactory quality, accuracy, or, fitness for a particular purpose. You must bear the risks associated with the use of the Internet.

    • 3.2 In particular, we disclaim all liabilities in connection with the following:

      • 3.2.1 incompatibility of the Website with any of your equipment, software or telecommunications links;

    • 3.3 To the full extent allowed by applicable law, you agree that we will not be liable to you or any third party for any consequential or incidental damages (including but not limited to loss of revenue, loss of profits, loss of anticipated savings, wasted expenditure, loss of privacy and loss of data) or any other indirect, special or punitive damages whatsoever that arise out of or are related to the Website.

    • 3.4 We do not guarantee delivery of any news briefing.

  • 4. Submitting text for publication on Global Competition Review

    • 4.3 These terms and conditions do not apply to commissioned work which will be subject to a written contract.

    • 4.4 Interactions with our site are governed by the following guidelines. You will be deemed to consent to these guidelines if You choose to post any content or comments to the site.

      • 4.4.1 We welcome debate and dissent, but the key to maintaining www.globalcompetitionreview.com as an inviting space is to stick to the passionate discussion of issues. We actively discourage obscenity and mindless abuse. Personal attacks on other users or authors have no place in an intelligent discussion.

      • 4.4.2 Please respect other people's views and beliefs and consider their impact when making your contribution. We understand that people often feel strongly about issues debated on the site, but we will consider removing any content that others might find extremely offensive or threatening.

      • 4.4.3 We will not tolerate racism, sexism, homophobia or other forms of hate-speech, or content that could be interpreted as such. We recognise the difference between criticising a particular government agency or organisation and attacking people on the basis of their race, religion, gender or sexual orientation.

      • 4.4.4 We appreciate that we have an international audience, but since we publish content in English, the language of conversation on the site should also be English. As such, contributions that cannot be understood by the majority of participants may be removed.

      • 4.4.5 We will remove any content that may put us in legal jeopardy, such as potentially libellous or defamatory postings, or material posted in potential breach of copyright. We understand that you may wish to quote from external sources, but please try and refrain from copying and pasting extensively, which not only slows down the discussion, but potentially leads to copyright problems. It's definitely better to post a short quote or synopsis and a link to the original article.

      • 4.4.6 We will remove any posts that are obviously commercial or otherwise spam-like. There are technology features in place, which can help to identify spam in content or delivery form and prevent it from being published on the site, but some may slip through.

      • 4.4.7 Keep it relevant. We know that some conversations can be wide-ranging, but if you post something which is unrelated to the original topic then it may be removed, in order to keep the thread on track. The same applies to queries about moderation - these should not be posted as comments.

    • 4.5 Our moderators are empowered to help create and maintain a healthy and positive environment. Above all, we reserve the right to take steps or implement measures which we hope will benefit the whole community of www.globalcompetitionreview.com

      • 4.5.1 Even if only part of a comment or posting is perceived as breaching the community guidelines, the whole thing may be removed.

      • 4.5.2 Sometimes, when a comment or post is removed, it is necessary to delete subsequent messages which refer to explicitly or quote from the original (removed) comment, in order to preserve some notion of conversational thread. This may also happen because a later comment quotes directly the problematic bits of the original comment, which just perpetuates the problem.

      • 4.5.3 Participants who seriously, persistently or wilfully ignore the community standards, participation guidelines or terms and conditions will have their posting privileges withdrawn. This is not an action that we take lightly, or arbitrarily. Prior to any such suspension, the participant will be warned, and given a chance to modify their approach.
